While XP only validated the sofware once, Vista keeps its options open. When you're downloading updates for the new OS you'll now require the Genuine Windows Validation tool, and the legalise gives it permission to phone home to make sure you're still on the side of the angels. Should your system fail the test, it could simply stop being able to get updates - not a comforting thought - or possibly stop working until you agree to go out and buy a new product key.
